By creating an account or using ApexSight AI, you confirm that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Description of Service

ApexSight AI is an SEO operations platform that provides:

• 24/7 monitoring of website SEO performance
• Anomaly detection and alerting for traffic and ranking changes
• Cross-platform data correlation (Google Search Console, Google Analytics 4, PageSpeed Insights, SERP tracking)
• AI-powered root cause analysis and recommendations
• Historical data storage and trend analysis
• Deployment correlation and incident management

3. Account Registration

To use the Service, you must create an account using a valid email address or OAuth authentication (Google or GitHub). You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activities under your account

4. Subscription and Payment

Free Trial

We offer a 14-day free trial with no credit card required. Trial accounts have access to limited features as specified on our pricing page.

Paid Subscriptions

Paid subscriptions are billed monthly or annually in advance. By subscribing, you authorise us to charge your payment method for the subscription fee. All fees are quoted in GBP unless otherwise stated.

Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. No refunds are provided for partial billing periods.

Price Changes

We reserve the right to change our prices. Price changes will be notified at least 30 days in advance and will not affect your current billing period.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorised access to other users' data
• Interfere with or disrupt the Service infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape or extract data from the Service
• Resell, sublicense, or redistribute the Service without permission
• Connect properties you do not own or have authorisation to monitor
• Use the Service to spam, harass, or harm others

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of data as described therein.

Your Data: You retain ownership of any data you provide to the Service. You grant us a limited licence to process your data solely for the purpose of providing the Service.

Data Accuracy: We strive to provide accurate data analysis, but we do not guarantee the accuracy, completeness, or timeliness of any information provided through the Service. SEO data from third-party sources (GSC, GA4) is subject to their respective data processing delays.

7. Third-Party Services

The Service integrates with third-party services including Google Search Console, Google Analytics 4, and GitHub. Your use of these services is subject to their respective terms of service:

We are not responsible for the availability, accuracy, or policies of third-party services.

8. Intellectual Property

The Service, including its software, design, text, graphics, and other content, is owned by ApexSight AI and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes, subject to these Terms.

9. Disclaimer of Warranties

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee any specific SEO outcomes or improvements from using the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEXSIGHT AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless ApexSight AI and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach these Terms
• You fail to pay subscription fees when due
• We are required to do so by law
• We discontinue the Service

Upon termination, your right to use the Service will immediately cease. We may delete your data in accordance with our Privacy Policy.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified at least 30 days before they take effect. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ApexSight AI regarding the Service and supersede all prior agreements, understandings, and communications.
